At a special meeting held on September 22, 2025, the shareholders of VBTX approved the proposed merger with
$HBAN. The merger is tentatively scheduled to close at 12:01AM on October 20, 2025. In anticipation of the closing, the stock will be halted immediately following the after-hours session at or around 7:50 p.m. on October 17, 2025. If the merger closes as anticipated, the stock will remain halted on the day of closing (October 20th) and will be suspended effective October 21, 2025.
VBTX shareholders will receive 1.95 shares of HBAN stock for each share of VBTX held. For example, if you own 1000 shares of VBTX, you will receive 1950 shares of HBAN.
