Shares of Viewbix Inc. fell Wednesday after the ad-tech firm announced a $ 3 million private placement of stock and warrants, alongside plans to acquire quantum computing company Quantum X Labs Ltd.
Viewbix will issue about 800,000 units at
$3.75 each, including one share and a warrant exercisable at
$5.625. The deal, expected to close in December 2025, requires shareholder and regulatory approval.
Under a nonbinding term sheet, Quantum X Labs shareholders would receive Viewbix securities representing 65% of post-merger equity, including shares from the concurrent financing.
Proceeds will go toward general corporate purposes, working capital, and debt repayment.
The sharp stock drop reflects investor concerns over dilution and the company’s strategic shift into quantum computing.
