“The Registrant is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the period ended December 31, 2025 (the “Form 10-K”) within the prescribed time period. This delay resulted primarily from the acquisition of the DNA X trading platform, the closing of which occurred during the fourth quarter of 2025. The Registrant is compiling the required information to complete the Annual Report and the audit of the financial statements to be included in the Annual Report. The Registrant remains committed to completing the filing as expeditiously as possible and expects to file the Form 10-K within the fifteen-calendar-day grace period provided by Rule 12b-25.
