At a special meeting held on September 16, 2025, the shareholders of Provident Bancorp, Inc. (PVBC) approved a merger with NB Bancorp, Inc.
$NBBK. The merger is tentatively scheduled to close November 14, 2025.
Merger consideration:
• PVBC shareholders can elect either
$13.00 or 0.691 shares of NB Bancorp, Inc. (NBBK).
• PVBC shareholders who do not submit an election will receive either Stock Consideration, Cash Consideration or a combination of the two depending on the valid elections of other Provident stockholders and subject to the allocation and proration procedures in the Merger Agreement.
