Only corp action has been to buy death care chemicals biz for ~$60M. That ostensibly leaves close to $250M of capital to be redeployed ($190M+$50M receivables that should be collected in now 45 days). We’re waiting….

$MATW $TSLA Matthews says judge issues order denying Tesla request to block DBE sales Matthews (MATW) announced that a U.S. District Court Judge has issued an order denying Tesla's (TSLA) renewed request to block Matthews' right to sell its DBE solutions to existing and potential global customers. The company issued the following statement: "On February 6, 2025, Matthews announced the favorable ruling in arbitration against Tesla, which reaffirmed the Company's right to sell its proprietary dry battery electrode technology, or 'DBE,' to customers around the world. Since that date, Tesla has responded by filing two additional legal attacks - in less than seven days - in the United Stated District Court for the Northern District of California, attempting to re-litigate issues that have already been decided in Matthews' favor. On Friday, February 14, 2025, U.S. District Court Judge Edward Davila issued an order denying Tesla's request for a temporary restraining order attempting to block Matthews' right to sell its innovative DBE offerings. Within hours of arguing the temporary restraining order motion before Judge Davila in California, Tesla filed yet another lawsuit in Federal Court against Matthews. Tesla's latest complaint filed in the United States District Court for the Northern District of California is also meritless and appears to be nothing more than Tesla's latest bullying tactic against Matthews. Matthews will vigorously defend this additional lawsuit while pursuing in parallel claims against Tesla for its wrongful conduct. Over 25 years ago, before Tesla even existed as a company, Matthews' engineers began the development of breakthrough technology that forms the basis of its DBE solutions which streamline production of lithium-ion batteries and significantly reduce production costs of electric vehicles. It is Matthews' extensive research and development in this area that led to U.S. Patent No. 12,136,727 - not Tesla's. Five years ago, Tesla came to Matthews seeking engineering solutions and access to our valuable intellectual property and trade secrets as well as our global engineering talent. Matthews, celebrating its 175th year of continuous operation, will continue to vigorously defend against Tesla's unfounded assault on its rights to sell - and further develop - its innovative technology."

$MATW Matthews 'strongly disagrees' with ISS' recommendation Matthews International issued the following statement regarding a February 6 report by Institutional Shareholder Services: "We strongly disagree with ISS' recommendation, which adopts Barington's positions while giving no substantive analysis to Barington's own plans and nominees. In doing so, ISS does not give appropriate consideration to the concerning absence of relevant skills and new ideas among Barington's nominees and the actions Matthews is taking to unlock the value of its businesses. Notably, Barington's "four-step plan" contains no ideas that would help shareholders, except those that have already been initiated by the company. ISS' report does not address whether Barington's plans for the company would be better for shareholders than the Board's current strategy. Additionally, we do not agree with the position that the "most important attribute" that Barington's nominees have is their "independence." In fact, they would bring to the Board a total lack of understanding about our business, no relevant skills, and track records of poor oversight. As a consultant to the Company, James Mitarotonda added no value, showed up to most meetings unprepared and made suggestions that either did not make sense or were already being executed. Barington's other two nominees also showed no understanding of our company in interviews with directors. Furthermore, Mr. Mitarotonda and his nominees have no experience relevant to the businesses in which we operate, and each have been criticized for questionable M&A oversight that was alleged to have destroyed shareholder value."

$MATW $TSLA Matthews announces ruling in arbitration with Tesla Matthews International (MATW) provided an update on the ongoing business dispute involving Tesla (TSLA). On February 5, 2025, an arbitrator issued a decision on an arbitration demand filed by Matthews against Tesla in January 2024. This ruling acknowledged Matthews' extensive, pre-Tesla background in manufacturing advanced Dry Battery Electrode technology and affirmed that the Company has the right to sell its solutions to customers other than Tesla. Matthews intends to immediately resume marketing, selling and delivering its DBE products to other customers in the growing electric vehicle market, where battery and automobile equipment manufacturers from around the world seek to adopt Matthews' innovative solutions.
