$ECX Qualcomm to acquire 10.33M ECARX shares in exchange for DreamSmart stake
ECX filed SEC Form 6-K. ECARX reported a share exchange agreement with Qualcomm Ventures (signed July 7, 2026) under which Qualcomm will acquire 10,329,562 Class A ordinary shares at a price equal to the 20-trading-day VWAP ending on the signing date, with consideration settled by transfer of Qualcomm's equity interest in DreamSmart to ECARX. Closing is expected in August 2026 subject to customary closing conditions, and the shares acquired by Qualcomm will be subject to a six-month lock-up with customary exceptions.
