$LUCMF Until gold show sustained momentum to the upside, all gold mining stocks will be "on sale". Permitting news will move the stock up despite the gold price, but without a catalyst like permitting or a PEA, waiting for the bottom continues. Looking at $SMOFF, $BORMF $BTG $NRRSF

$GGAZF $GGAZF still has not disclosed, even after this supplemental disclosure for this merger with $GORO, that Gold Group Mining will lose its surface rights to Sonoro Gold $SMOFF for their Prieto mine in September 2028. Looking at the supplemental disclosure, there is no mention of this mention to this fact. Maybe with the Sanfisco mine that GGAZF recently bought, they do not need the Prieto mine's gold production, but they announced making surface infrastructure capital expenditures to increase gold production there. So they lose that gold production in 2028, unless they buy the surface rights ...or just abandon Prieto. Either way, as a Gold Resource shareholder, it looks like there is a deliberate effort to mislead GORO shareholders into approving the merger to bail out GGAZF before they are forcced to do another capital raise. JMHO

The permitting decision remains one of the company's most important near-term catalysts. The disconnect between valuation and project economics is what makes SMOFF attractive at the current price of $0.16. Sonoro's updated 2026 PEA outlined an after-tax Net Present Value of approximately US$224 million and a 50% Internal Rate of Return (IRR) using a very conservative US$3,500 gold price assumption, with initial capex estimated at about US$83 million. The PEA anticipates a 10-year open-pit heap leach operation producing roughly 459,000 gold-equivalent ounces over the mine life. $GGAZF $GORO $SMOFF Potential valuation of GoldGroup Mining's Prieto Mine surface rights Using currently disclosed gold production figures in GGAZF's financial reports and typical mining transaction metrics, a potential range of $10-$30 million, with a low of a cooperative lease/royalty solution and a high of a strategic-control situation where continued mine operations depend on reaching an agreement between Sonoro Gold and Gold Group Mining. The surface rigth issue can be a legal problem if GGAZF does not disclose this issue before the merger. If they do not, the bargaining value of Sonoro's position could be much higher than a conventional surface-rights appraisal. Considering SMOFF's market cap around $55-$60 million, the eventual agreement with GGAZF could be a huge positive for Sonoro and a negative surprise to GGAZF and GORO shareholders.

$GORO $GORO Doesn't any GORO shareholder have concern that $GGAZF will have to close down their Prieto mine in Sepgtember 2028 because another company $SMOFF bought the surface rights to the Prieto mine.?Now, maybe GGAZF/GORO will buy those rights from Sonoro Gold BEFORE the sht down of the mine. But how much will those rights cost the merged company? Or, is GGAZF really saying (by not saying anything in any disclosure to both the shareolders of GoldGroup Mining and Gold Resource) that the Prieto mine is a depleting mine asset? Not comfortable at all, but must admit I made money on the initial announcement. But what are GORO gettin gin this merger? Seriously.

[SGO-TSXV, SMOFF-OTCQB) says that in response to investor demand, it is increasing the size of a previously announced private placement financing that is now expected to raise $15 million. That is up from an earlier target of $10 million. Proceeds from the offering will be used to advance the ongoing development of the company’s Cerro Caliche gold project on Sonora, Mexico, where the company is planning a two-phased exploration campaign, including 50,000 metres of resource expansion drilling. The updated PEA reflects an increased gold price as well as higher capital costs and operating cost estimates. It envisages a 10-year life of mine with average production of 46,000 ounces of gold equivalent (AuEq) at 0.38 g/t or 459,000 ounces of AuEq over 10 years. $SMOFF Interview with the CEO is very informative. Considering the interview was from about one month ago, you can see why they are increasing their treasury. Permitting must be getting close, imo. And the recent acquisitions and the aggressive drill program seems geared for building the value proposition for shareholders. www.youtube.com/watch?v=fJNtUct75fE The fact that the management team continues to add to their holdings in the financings is a good sign indicating their confidence in the future. The Prieto mine operated by $GGAZF is clearly in SMOFF's surface rights area starting in September, 2028. I do not know what will happen there.

Though it was a bit surprising as I don't recall any mentioned prior. Likely a move to an auditor with more experience in the sector. It was a quick change. Mid week announcement.. no late Friday news drop. Curious to see the price action tomorrow. Not sure how to read this yet. $SMOFF Looks like Sonoro Gold is very confident that the mineralization extends into neighboring land parcels and, rather than proving out their Cerro Caliche concession for other opportunistic mining companies , they are expanding their concession. Good forward looking decision.

$SMOFF chart is looking good here. $SGO.V There obviously has been accumulation going on since it bottomed out under $15. Peritting is "imminent" , just not possible to predict when the Mexican government wlll do it. But there is an old saying "The longer it has been, the more imminent it is.".
