$VWAV just filed an amendment to its S-1 that delays the effectiveness of the share registration tied to the SEPA. Basically, the shares are registered, but can’t be issued or sold yet until the company files another amendment or the SEC sets the date.
In my opinion, this creates a period where the stock trades without immediate dilution pressure, and in similar situations we’ve sometimes seen stocks move higher before newly registered shares eventually come to market. Not a guarantee — just how these setups can behave.
Worth keeping an eye on how VWAV trades while the offering remains inactive.
Also, I doubt the company wants to dilute their new institutional investor at a price less than what they purchased for.
