$NISN Retail holders don’t grasp the risk profile. The board has fully abandoned U.S. investor-facing channels, including their IR domain, which is a soft signal that they are disengaging from U.S. compliance culture. Anyone still treating NISN like a conventional ADR should reassess reality.

$NISN The real issue for this period of the year is the lack of announcement about the annual meeting of shareholders. We're in December and there is nothing yet. I believe this is a matter to be watched in a daily basis and a reason of concern.

$NISN Another subject from my DD was the short attack from China. After the news of the edible oil company acquisition, a rumor appeared that Nisun (Ning Sheng according to Google Translate) has bankrupted, and its major shareholder left the country. The Chinese bashers used a specific paper to prove that Nisun has terminated its business. Comments about this issue posted here too, some holders abandoned the stock. $NISN @Investor6 to clarify it; NISN holds the 10% of Feima-002210. This co has currently a market cap of CNY 9.95B, means 1.4B USD. The 10% stake worth $140 million. That it is, if they still hold it and not sold it all, or a part, to fund the new acquisition of the edible oil business. The accounting profit for NISN, YTD is nearly $70 million.

So, $NISN acquired indirectly the 10% of Feima. At the time of the acquisition, Feima was traded around CNY 1,700. Currently, Feima (002210) trades around CNY 3,800. The stock rallied during summer. If Feima closes the year around this price, then NISN will write CNY2,000 per share gain for 2025.

$NISN I've tried to check the credibility of NISN by searching only the official announcements in Chinese. And solely the official, because Chinese are deep in rumors and fake news. $NISN It's a pity that the better IR effort lasted only one year. The IR is back to 2023 etc, when they left investors without updates for months. At least, the release of the results in December worked in favor of the sp, these years. There isn't anything else we should expect.

$NISN The acquisition of Zhetai is still surrounded in silence and mystery. Based on revenue and market sentiments the estimated price of this aquisition is (using ChatGPT): At a low end (0.3× revenue): USD 415 million × 0.3 = ~USD 125 million At a mid‑range (0.6× revenue): USD 415 million × 0.6 = ~USD 249 million At a high end (1.0× revenue): USD 415 million × 1.0 = ~USD 415 million Given the “leader” status and asset base, a realistic estimate might place the acquisition cost in the USD 200‑300 million range. I would estimate that Nisun paid somewhere around USD 250 million (± USD 50‑100 million) for its majority stake in Zhetai Tianjin. Biggest question is how did they finance this? “Full details related to the transaction will be included in the Company’s first half 2025 financial report.” With 45 mln cash at the end of 2024 its quite the question. Even if they made all their current assets liquid, they would only have around 250 mln. And thats highly unlikely due to their businessmodel.

$NISN The expectations here are clear: In 2/2025, Nisun released a guidance for 2025: "The Company Expects Revenue Between $420 Million and $510 Million, Generating a Net Profit Between $16 Million and $20 Million in 2025, Driven by Strategic Initiatives in Supply Chain Financing Solution Services, Small and Medium Enterprise financing solutions, and KFC Franchise Expansion." In 6/2025, Nisun announced an estimate for its new subsidiary: "Zhetai Tianjin is expected to contribute approximately USD 415 million in revenue for 2025." Both, bring the 2025 revenues between $835 and $925 million, from $340 million in 2024.
