$IBG I have nothing to prove to someone who created a fake account today in order to hide who he is while claiming I'm short on IBG. I have a child on the way and she and her mother are the only one's I have anything to prove to. That being said, to the bulls on here i'll be transparent, here's the receipt. I'm a swing trader, not an investor. I position myself to catch the move and then take profit. Yes, this frequently involves trading a low float stock thats a long term bad investment but a short term profitable move. I have no opinion about IBG's long term prospects after this merger, I'm here for what's about to happen.....

$IBG pre offering float 566,000 share offering shares 3.4 million total warrants 6.85 million total possible tradeable float 10.8 million still well below low float standards and currently only 4 million after offering closed since warrants are not exercised. and any investors who opted for prefunded warrants instead of immediate shares lowers that 4 million further. this is still a very low tradeable float and near term price action will reflect that. down for now while offering is still in effect and volatile price spikes up when closing is complete and news comes out. Further, a lot of these funds/investors effectively lock up their shares waiting for minimum 2-3x warrant strike price essentially making the tradeable float much less than the 4 million shares for now. this could easily trade more like a 2 million share float

$IBG sorry posted without PHASE ONE: investors recieve units at $1.75 and funds sell immediately to take profit/reduce risk and retain the warrants for upside. they will buy back in at the bottom at almost half the price. this is called "warrant stripping"

$IBG BREAKDOWN OF THIS OFFERING FLUSH IN IBG: When a company files a form F-1 before the deal is priced, the SEC requires an estimated offering price to calculate the registration fee. IBG used $3.60 per unit (assumed price based on recent trading price, banker guidance before the book building process). After the book building process with institutional investors, demand determined the real price: $1.75 per unit. What each $1.75 unit contains: 1 ordinary share (or a pre funded warrant instead of the share) 1 series A warrant 1 series B warrant exercise price of both warrants are at $1.75 and they dont expire for 5 years.

$IBG continued: PHASE TWO - market maker hedge pressure: market makers provide liquidity for the participants selling common shares and at the same time short the stock to hedge against the future supply risk at warrant strike price of $1.75 They short the price pushing it well below the warrant strike price and liquidity sweep weak holders. Funds and private investors reenter at 40-60% discounts to what they just sold at. PHASE THREE - post closing liquidity vacuum offering shares are fully distributed, initial flipping slows and supply temporarily dries up. at that point the float stabilizes, short hedges start covering and this can produce the first bounce.

$IBG continued: So when upwards volatility hits this stock (and especially with catalysts such as merger news, oil well updates etc) then this still trades like a 2-3 million share float and can have dramatic runs. Also important, large investors that cant exercise their warrants because it would make them a beneficial owner of over 4.99% of company. they will have to liquidate common shares in order to exercise those warrants and they wont do so until they have made their money on the common shares so those warrants are locked up until then, further delaying the potential dilution to the tradeable float. The Sqeeze setup window: this window appears when 3 things happen simultaneously: offering closes selling volume dries up short hedges remain open THEN: market makers cover their short positions traders pile into low float price spikes rapidly if merger is completed as scheduled this will amplify the effect by multitudes and especially with further positive news regarding oil, mining, etc.

$IBG Your totally right, everything could go wrong! A lot has so far. I’m not promoting this stock. If it was a sure thing everyone would be buying instead of selling. Maybe being foolishly optimistic. Since I’m already in it I’m going to wait it out. Won’t be surprised if it falls even further in the next few days but I guess we’ll see in the next two weeks. The path is leading towards the merger, but I’m not investing what I can’t lose.

$IBG The price post merger should be minimum $4.40 Figuring the high end of shares issued once the merger happens is 50 million. Minimum valuation of the company FUEL is $220 million (high end is $360 million) Divide 220million by 50 million and you get $4.40 this should be the low end ($7.20 high end ) Of course anything can happen- hopefully the merger goes through- this offering actually helps it along - I have done a fair amount of research on this but open to opinions- nothing surprises me on this stock!
