Hollysys Automation Technologies Ltd. provides automation control system solutions in the People's Republic of China, Southeast Asia, India, and the Middle East. The company offers a suite of industrial automation systems, including hardware-centric products, such as instrumentation and actuators; proprietary software-centric distributed control systems/programmable logic controllers; and valued-added software packages comprising simulation training system, HolliAS asset management system, advanced process control, and manufacturing execution system, as well as HOLLiAS MACS-N DCS, a proprietary nuclear power non-safety automation and control system. It provides train control center, an on-ground control center that monitors route condition, track status, train schedules, distance between trains, and the working status of other function devices, as well as generates control instructions and commands. In addition, the company offers automation train protection that operates as a train over-speed protection mechanism; other signaling products, including automatic train operation system, track circuit, line-side electronic unit, balise transmission module, temporary speed restriction server, radio block center, and computer-based interlocking; and supervisory control and data acquisition system, an open software platform. Further, it offers integrated automation control system solutions, mechanical and electrical solutions, including design, engineering, procurement, project management, construction and commissioning, and maintenance related services, and installation services. The company was formerly known as HLS Systems International Ltd. and changed its name to Hollysys Automation Technologies Ltd. in July 2009. Hollysys Automation Technologies Ltd. was founded in 1993 and is headquartered in Beijing, the People's Republic China.

$HOLI I hadn't realized that BVI law allows for investors to contest the price paid in a takeover (similar way to what DE law used to allow), and it looks like quite a few investors are taking the opportunity to seek an appraisal: "the obligations of Parent and Merger Sub to effect the Merger are subject to the condition that holders of no more than 10% of the Company's total ... shares have validly served and not validly withdrawn a notice of dissent under Section 179 of the BVI Act. Prior to the vote being taken at the EGM, the Company had received notices of objection from shareholders that in the aggregate hold more than 10% of the total ... shares ... If objecting shareholders that in the aggregate hold more than 10% of the total ... shares of the Company ultimately deliver notices of dissent ... , this closing condition will not be satisfied and Parent and Merger Sub will have the right to either waive this closing condition or decide not to proceed with the consummation"

$HOLI 26.50 = waiting for godot. Any hopes for white knight type actions are a pin hole of light in a tunnel. Earnings are nothing to write home about but slight growth with decent jump in net assets and $88 million cash flow from operations more than locks this up. The deal pays for itself upfront.

$HOLI Pulled the plug on 60% of the position today in the 25.90s and locked in almost 100% profit. That was some ride and too bad for the lame finish. It was an absolutely massive position for me and needed to finally free it up to put to work in other areas given Feb. 19th is just around the corner (China markets reopen). Not worth the time risk for me for 2% outside of a handful of shares I might hold until closing. Of course, watch something big happen and a higher buyout forced, which of course is highly unlikely, but the reason I held just a few.

$HOLI In the end the crooks won. I should not complain given I started this position under $13 and has been my largest position by four fold for over a year and a massive win. I just really wanted the underdog to win and get those few extra $1 and for once the greedy insiders with zero concern for shareholders to fail. Thanks for playing everyone and personally plan to roll the funds into a number of China plays likely looking to bottom during Chinese New Year.
