$VOXX Searched SEC the only document w/ "Change of Control" is the 8-K, Item 5.02 CEO and CFO employment agreement extension to Feb 28, 2026 (because they expire on Feb 28, 2025) filed on 11/11/24. I wonder about the significance of the CFO agreement having "The Shelton Amendment also provides that if a Change in Control Event is not closed by March 1, 2025, she shall be entitled to receive a bonus of $300,000, payable upon a Qualifying Separation which includes, in part, her resignation for Good Cause upon 90 days’ written notice." $VOXX CEO and CFO employment agreement updated. Looks like laying the exec compensation groundwork for buyout to me. Contracted extended til Feb 28, 2026 Upon his termination of employment, Mr. Lavelle shall be entitled to receive an additional $1,000,000 payable in 12 equal consecutive monthly installments unless he elects to have such payments spread over 24 months. Additionally, upon the closing of a Change in Control Event, Ms. Shelton will be entitled to resign with 180 days’ prior written notice as Good Reason under her employment agreement. $VOXX I bet that the vast majority of companies in electronic widgets makes their stuff in China and Mexico and USA just like Voxx does. Bose for example boast American Made but lots of their stuff is made in China. Klipsch has some speakers made in USA, but lots of stuff from China and Mexico. Trump tariffs adds another factor and may or may not affect price. Heck for a Chinese company with not big brand buying all of Voxx and its brands is a once in a lifetime opportunity.

$VOXX $GNTX Mexico and USA update the USMCA and America's largest trade partner, Mexico, keeps going strong. Mexico exports to USA trade now exceeds China's exports to USA. Perhaps Gentex made the offer for all of Voxx because they wanted to have a manufacturing plant in Mexico. Gentex, if memory serves me right, manufactures their products only in USA.

Get a top brand, products, distribution, AND plants in USA (the Florida plant Voxx sold and they were in the process of moving all of it to Mexico is leased for 5 years. So move back if it makes $$ sense).

$VOXX Can't get this sentence out of my head. What does the CEO Patrick Lavelle mean exactly? a) he did not have to say this in the CC. It is not material and shareholders looking for a sale of the company know it can take several quarters and made plans for a sale in 2025, IMO. b) But he did. So does the Shalam want the company sold by end of FY24? "Frankly, we would have preferred to wait until sometime in fiscal 2025, when we believe we'll be in a better financial position, having paid down our debt, realign the business, and hopefully present a more profitable business, generating cash flow and earnings and commanding a higher valuation in the open markets."
