@don70 As I understand it, the debt refinancing included granting an equity interest to the lenders. The terms look good going forward. So, yes there will be more shares outstanding, but they'll be worth something because the company can continue operations. That was included in B. Riley's $5.75 valuation. Disclosure: I'm holding around 1% of my portfolio in $OPI, but not sure about adding more at this point. I'll think about it every day it's around $1.

$OPI PLEASE just send this Capital Loss Inflation Fairness Act to your Local Congressman and ask them to cosponsor it. That's all you have to do. I did, and they signed it. Do your part to make a difference. It's the right thing to do, and more cosponsors means a much greater likelihood of this very fair bill going through finally..if this goes through, which it needs to, we'll be able to claim up to over $13,000 per year in capital losses instead of the measly fixed $3,000 per year that's remained unchanged for inflation and stagnant since 1978...time for this to get updated...https://norman.house.gov/news/documentsingle.aspx?DocumentID=1611

$OPI Office Properties Income Trust (Nasdaq: OPI) ("OPI") today announced it has consummated the previously announced private exchange of a portion of its 4.50% senior unsecured notes due 2025 (the "2025 Notes") for: (i) approximately $445 million of new 3.25% senior secured notes due 2027 (the "2027 Notes"), (ii) cash for accrued interest on the exchanged 2025 Notes up to but not including the closing date, (iii) approximately 11.5 million shares of OPI common stock, and (iv) premiums totaling $25.0 million. Following the exchange, which will directly or indirectly account for $340 million of 2025 Notes, OPI intends to repurchase, redeem or repay the remaining $113.1 million of outstanding 2025 Notes prior to the February 1, 2025 maturity date.

$OPI The 2027 Notes require quarterly principal amortization of $6.5 million and a mandatory principal repayment of $125 million due by March 1, 2026, unless satisfied sooner with proceeds from certain asset sales. The 2027 Notes are secured by first-priority liens on 35 properties with a Gross Book Value of approximately $1.3 billion and second-priority liens on 19 additional properties that secure OPIโ€™s approximately $610 million of senior secured notes due 2029 on a first-lien basis with a Gross Book Value of approximately $717 million. The 2027 Notes will mature on March 15, 2027.

OPI needs to generate 365 Million Dollars in a year mainly by selling assets. The need is for: 1. Redeeming the remaining 2026 unsecured notes of 140 Million Dollars. 2. Paying note holders deferred from 2025 to 2027 the agreed on amount of 125 Million Dollars in March of 2026. 3. Current unspent lease obligations of 100.6 Million Dollars. Another factor that is adding pressure to the cashflow is the quarterly amortization of 6.5 Million Dollars agreed on with the deferred noteholsers. and then there is 2027 big maturity of 775 Million Dollars that will depend on sector fundamentals and interest rates then. I believe OPI is going to eventually survive and stock price will hit 15 Dollars by 2028, but the journey aint going ro be any smooth...a lot of headwinds ahead knowing how RMR operates for quite some time now! $OPI
