Franchise Group, Inc. owns and operates franchised and franchisable businesses. It operates through six segments: Vitamin Shoppe, Pet Supplies Plus, Badcock, American Freight, Buddy's, and Sylvan. The Vitamin Shoppe segment operates as an omnichannel specialty retailer of vitamins, minerals, herbs, specialty supplements, sports nutrition, and other health and wellness products. The Pet Supplies Plus segment operates as an omnichannel retail chain and franchisor of pet supplies and services that includes premium brands, proprietary private labels, and specialty products, as well as offers grooming, pet wash, and other services. The Badcock segment operates as a specialty retailer of furniture, appliances, bedding, electronics, home office equipment, accessories, and seasonal items in a showroom format; and offers multiple and flexible payment solutions and credit options through its consumer financing services. The Sylvan segment establishes and grows as a franchisor of supplemental education for Pre-K-12 students and families in the United States and Canada. The company was formerly known as Liberty Tax, Inc., and changed its name to Franchise Group, Inc. in September 2019. Franchise Group, Inc. was incorporated in 2010 and is headquartered in Delaware, Ohio. As of August 21, 2023, Franchise Group, Inc. was taken private.

$RILY 55% of $RILY's Loan Book was a $201 million Loan to Vintage (aka Brian Kahn): We can’t imagine a more awkward Investor Day moment than when $RILY revealed that 55% of its entire loan book was related to either Brian Kahn personally (via Vintage, secured by $FRG shares) or $FRG (via Badcock receivables). This is in addition to having just made a $280 million equity investment in $FRG itself. This came a month after the prophecy indictment, and seemed to be the turning point when investors realized just how interconnected Kahn and Riley really are:

@BullishNurse (2/2) Remarkably, Brian Kahn ($FRG founder) has secretly cashed out around 75% of his stake in FRG, leaving RILY holding the bag. RILY shareholders should worry about why Kahn exited so much FRG and why it was done secretly. The supposed management "buyout" was actually a cash out We know Kahn didn't cash out of FRG to clear his debts - per the letter in the next tweet, he hasn't paid debts he owes to Prophecy victims... RILY has bankrolled him nonetheless (possibly with knowledge of these debts) However it gets worse. The supposed "loan" RILY has to Kahn is at over 90% LTV and has NO cash interest component. It is a sham loan. And Kahn is likely in technical default on the loan because of the information below showing he has a receiver chasing him/unsettled debts RILY needs to be more clear with investors about their true exposure to FRG. Management quietly alluded to consolidating FRG at the analyst day (mentioning it on a slide regarding wholly owned subs).

I won't include them, but starting that the top of this person's thread from ca. 10am ET today, here goes (1 of 2): Randall Paulson founded Odyssey Investment Partners, a well-respected PE firm. He Chairs the Audit Committee of $RILY. I wrote him a letter provided here. Sylvan appears to be a distraction from a major audit issue - the Kahn loan that is now in default Kahn's default may explain why $FRG is liquidating assets - I suspect $RILY will have to consolidate $FRG. As of the analyst day, $FRG carried over $2B of debt. According to S&P, $FRG won't produce positive free cash. Consolidating will blow a huge hole in $RILY's balance sheet If you're buying $RILY today, be aware that it's likely you're also buying $FRG which is extremely over-levered and not cash flow generative. You're also buying an esoteric liability - the risk the government claws back Kahn's shares after $RILY seizes them

Riley Financial's (RILY) relationship with Brian Kahn, a key client who was linked to a securities fraud, and the use of his assets to help the investment bank obtain a loan from Nomura Holdings (NMR), people familiar with the matter told Bloomberg's Donal Griffin and David Voreacos. The firm says it hasn't received anything from the SEC on the matter, the report noted. Officials have been scrutinizing how Kahn led a buyout of a retail business Franchise Group in a deal arranged last year by B. Riley that was partly financed by Nomura, the report added. B. Riley shares are down $1.99, or 10%, to $18.19 in Monday pre-market trading following Bloomberg's report.
