About CVR Energy Inc.

CVR Energy, Inc., together with its subsidiaries, engages in the petroleum refining and marketing, and nitrogen fertilizer manufacturing activities in the United States. It operates in two segments, Petroleum and Nitrogen Fertilizer. The Petroleum segment refines and supplies gasoline, crude oil, distillate, diesel fuel, and other refined products. This segment also owns and operates a coking medium-sour crude oil refinery in southeast Kansas; and a crude oil refinery in Wynnewood, Oklahoma, as well as supporting logistics assets. This segment primarily serves retailers, railroads, farm cooperatives, and other refiners/marketers. The Nitrogen Fertilizer segment owns and operates a nitrogen fertilizer plant in North America that utilizes a pet coke gasification process to produce nitrogen fertilizer products; and a nitrogen fertilizer facility in East Dubuque, Illinois that produces nitrogen fertilizers in the form of ammonia and urea ammonium nitrate (UAN), nitric acid, and liquid and granulated urea. This segment primarily markets UAN products to agricultural customers; and ammonia products to agricultural and industrial customers. The company was founded in 1906 and is based in Sugar Land, Texas. CVR Energy, Inc. is a subsidiary of Icahn Enterprises Holdings L.P.

@Dpaulson123 not sure. There is an article in another thread that said that $CVI removed themselves from the bidding. But it also said that Gold Resources was trying to bid, possibly in conjunction with $CVI.

I think this offer is about half what cvi put on the table for the assets. Winning the citgo refineries would have been a tremendous boon to cvi's throughput, and ability to leverage. I think we could have seen the stock price in the 50-60 range pretty quickly had the court made a rational decision and gone with the best offer. Hoping Icahn knows something more than us on this which led him to his share purchase offer last week. I am deep at about $26 per share on cvi. It's been dead money for too long.

$IEP Today is the ex dividend date. Hence the reason the stock is opening .50 cents lower. Longer term, I like Carl’s plan to acquire more $CVI. When their dividend returns, it will benefit $IEP shareholders. Sometimes one step back is needed to take two steps forward. Disclosure: Holding 30k shares of IEP at $14.38.

In reality, fair market value is defined as the price 2 willing parties determine in arm’s length transaction - buy/sellers and cost value. $IEP has many assets they can sell & will sell aka the basis of asset allocation. #CarlIcahn is going after more $CVI CVR Energy increasing their owners from 66% by acquiring up to 15M new shares. Icahn was COB of $CVI & $IEP has owned it since 2012 aka Carl knows $CVI inside out, which also owns 37% of $UAN. WSJ should focus on this opportunity & theme. $CVI has incurred a few temporary events; electricity outage & fire. This will pass. USA needs gas and petroleum products. Holding co need pruning. If this small unit WSJ has focused on isn't worth keeping it’ll be gone. Carl Icahn’s record is incredible. @Drynin doing the math and keeping it simple. Carl owns about 85% of $IEP so 406 out of 475 million shares on a quick google search. With the new dividend cut that $0.50 x 4 quarters will provide $138 million of that new $CVI stock purchase so the dividend cut was good for us as stock holders.

$IEP Help me with the math. Carl owns 66M shares of $CVI which WAS contributing 50 cents per share a quarter to IEP, so $33,000,000. Now he is trying to spend $262,500,000 to add 15M more shares of CVI to add another $7,500,000 a quarter to IEP right? There is currently approximately 504M units of IEP so at best 81M shares of CVI only adds $40,500,000 a quarter to IEP. That comes out to 12.44 CENTS per quarter towards the current shares of IEP.....so why do people think it would add 50 cents more onto IEP distribution?? Am I missing something here because even though not everyone takes the cash option, taking more units still has a cost to IEP and the rest of the unit holders.

$IEP $CVI Icahn Enterprises proposes to acquire additional 15M shares of CVR Energy stock Icahn Enterprises (IEP) announced that it has delivered a proposal to the board of directors of CVR Energy (CVI) to acquire additional shares of CVR common stock in a tender offer. IEP proposed that Icahn Enterprises Holdings, or IEH, would commence a tender offer to acquire up to 15M additional shares of common stock, par value $0.01, of CVR, for a purchase price of $17.50 per share. The proposed purchase price represents a premium of approximately 6% to CVR's closing price on November 7 and a premium of approximately 5% to the volume-weighted average price of CVR's common stock during the last seven trading days. IEP is proposing the tender offer because it believes that CVR's shares are undervalued in the market and represent an attractive investment opportunity, and that CVR's shareholders will benefit from an opportunity to sell their shares at a premium to their trading price. IEP's proposal contemplates that IEH would acquire all shares of CVR common stock properly tendered in the tender offer up to the maximum tender amount, and that the tender offer will not be subject to a minimum tender condition. Furthermore, IEP is willing to agree with CVI to certain contractual provisions for the benefit of CVR's public stockholders following completion of the tender offer. It is IEP's expectation that a special committee of independent directors of CVR will consider our proposal and such other terms, and to make a recommendation to CVR's stockholders or determine to remain neutral with respect to the tender offer. IEP currently beneficially owns, directly and indirectly, 66,692,381, or 66.3%, of the outstanding shares of CVR common stock and, if the proposed tender offer were to be fully or over-subscribed, IEP would beneficially own, directly and indirectly, 81,692,381 shares, or 81.3%, of the outstanding shares of CVR common stock.

$IEP if management kept a $4/dividend after $CVI suspended temporarily, it would not have made any sense. The money is not supposed to just bleed the company dry, it’s a return of capital. If we are making less on dividends, there is less to return. Makes much more sense to put that money to work while $CVI is paused as this will result in increased yield in the future for unit holders.

$IEP So let me know your thoughts....IEP owns 66M shares of $CVI and gets the board to temp halt dividend, know the share price will drop. Then Carl uses the funds he would have paid out on IEP to buy 15M more shares of CVI. They then reinstate the dividend and CVI goes back up 30-40% (helped by Trump winning election). Quick sold gain which increases the NAV of IEP....seems like a smart move???? My only other question, when there is only about 34M shares of CVI out there, can he really expect to be able to buy up 15M of that?
