Much of it is still redacted, but we have the following tidbits: -The NewCo BoD & management will consist primarily of CTXR personnel. NewCo's board will essentially be CTXR's current Board + Joel Mayersohn. $CTXR When they originally proposed spinning off Lymphir, i assumed they meant a traditional spinoff with IPO. CTXR shareholders would get equity in the spinoff. The IPO would raise cash for the NewCo. But that would had netted CTXR nothing in return. With the $TENK deal, yes CTXR has to give up $10m. But in return they will have 67.5m shares in the NewCo. The equity gives them some flexibility that they wouldn't have in a traditional spinoff+IPO. Even if the NewCo shares tank, 67.5m shares should allow CTXR to recoup some value. If NewCo falls post-merger, CTXR should still be able to recoup that $10m if they sell enough equity. Maybe even the value of the original $40m upfront. If NewCo can hold value or rise, they might even be able to sell some and still have enough left over to redistribute to CTXR shareholders. That's where the value in this deal lies. The 67.5m equity stake in NewCo.
