About PGT Innovations, Inc.

PGT Innovations, Inc., together with its subsidiaries, engages in the manufacture and supply of impact-resistant aluminum frame windows and doors in the United States and internationally. The company provides heavy-duty aluminum or vinyl frames with laminated glass to provide protection from hurricane-force winds and wind-borne debris; and non-impact resistant vinyl windows with insulating glass and multi-chambered frames for various climate zones. It also offers customizable non-impact-resistant aluminum frame windows and doors; and non-glass vertical and horizontal sliding panels for porch enclosures, including vinyl-glazed aluminum-framed products used for enclosing screened-in porches that provide protection from inclement weather. In addition, the company provides premium aluminum impact-resistant products; aluminum impact-resistant windows and doors; vinyl energy-efficient impact-resistant windows; and commercial storefront window system and entry doors. Further, it provides impact and non-impact sliding glass and terrace doors; fixed picture, single hung, and horizontal rolling windows; aluminum thermally broken doors and windows; fixed and operating windows; sliding, folding, and hinged doors; and moving glass walls and windows. The company offers its products under the PGT, CGI, WinDoor, Western Window Systems, NewSouth Window Solutions, Eco Window Systems, Eco Window Systems, Anlin, Martin, and Eco Enterprises, Inc. brands. It serves window distributors, building supply distributors, window replacement dealers, enclosure contractors, and garage door installation dealers. The company was formerly known as PGT, Inc. and changed its name to PGT Innovations, Inc. in December 2016. PGT Innovations, Inc. was founded in 1980 and is headquartered in North Venice, Florida.

For those taking notes - interesting 15 months in this space! $pgti gets a poison pill a yr ago, new CFO 7 months later in 2023, a bid by Masonite, rejects mason takes the 2nd suitor miter, a barely better offer, than out of nowhere corning for masonite today. Moral of story - pills, cfo changes, option activity/skew - all elements we looked at in past yr posts. But while $pgti was a personal winner, they took TOO LOW an offer - and i completely didn't see the corning swoop in on mason $door so i missed door - always keep a trading journal for case studies!

$PGTI PGT Innovations (PGTI) filed a preliminary proxy statement for its proposed $2.45 billion acquisition by Miter Brands. Background: In the middle of 2021, “Company A”, a publicly listed homebuilding-products supplier, contacted PGTI and offered to buy the company for $26.50 in cash per share. On May 1, 2022, Party A sent another proposal, this time for $28.25 per share, comprising $25 in cash and $3.25 in Party A common stock. On June 10, Party A submitted a proposal to acquire PGTI for $28.25, this time all in cash. DIscussions continued for some time, and in December a private homebuilding-products supplier, “Company B”, expressed interest in a potential transaction. In March 2023, the CEO of Miter Brands expressed interest in a potential strategic transaction. Later that month, “Party C”, a private-equity firm with a controlling interest in another homebuilding-products supplier, expressed interest in a potential strategic transaction with PGTI.
