While any significant M&A brings execution risks and "increased angst from investors still harboring memories of prior expensive deals," the analyst says a rumored transaction with Informatica, if it were to be confirmed and the deal were to be struck around a $12B enterprise value, looks to meet Salesforce's "criteria for responsible M&A." The firm, which sees potential for a complementary expansion that further buttresses the capabilities of Mulesoft and Data Cloud, has an Overweight rating and $350 price target on Salesforce shares.

$INFA taking the piss. To take control and/or ownership of a company, you need to pay a premium. We can trade at the current SP without control. Never heard of a company getting control for a discounted price. Absurd. Why would shareholders agree to that? INFA board duty to get the best return for shareholders. Maybe they will. It's all rumours so far, let's face it.

While investors will likely be disappointed that management is considering large company M&A after frustration regarding the high premium to acquire Slack and dispelling interest in pursuing material M&A last year, in Oppenheimer's view, adding Informatica would be strategic and value added to all Salesforce's Clouds, especially Data Cloud and platform businesses. Salesforce's market workflows are time-consuming and manual, requiring updating records and exchanging spreadsheets, and pairing Informatica with Salesforce will help organizations improve business processes and data quality/management, and save money by maintaining records, service needs, and running AI workflows in real-time, says the firm. $CRM $INFA | Salesforce is in detailed talks to ACQUIRE Informatica. According to WSJ, the deal might close at a price lower than its last stock price of $38.48, which values the company's Mcap. above $11 billion. This deal could be one of Salesforce's biggest purchases since it acquired Slack for nearly $28 billion in 2020. Informatica's total value, including debt, is more than $12 billion. IMO, the purchase would likely come at a considerable cost to Salesforce, including the use of cash, taking on debt, or both. It will also likely face criticism from activist investors for relying too heavily on inorganic growth. If the acquisition proceeds at a significant premium, it could be as significant as their past major purchases, such as the $14 billion for Tableau Software in 2019 or the Slack acquisition.

$CRM $INFA Reports of Salesforce potential M&A could hold some promise, says Jefferies Jefferies analyst Brent Thill notes that recent media reports highlight Salesforce's (CRM) interest in Informatica (INFA). The firm believes a hypothetical acquisition would complement MuleSoft and expand Salesforce's data management capabilities. It would also unlock the Data Cloud and AI opportunity, says Jefferies. Given Informatica's high 20s/low 30s margin profile, the firm expects little dilution to Salesforce's margins. Informatica trades at 7-times NTM revenue. An offer around this valuation would be in line with other data and integration deals, Jefferies contends. The firm has a Buy rating on Salesforce with a price target of $350 on the shares.
