$AVCTQ Tristar 10-K The Company incorrectly recorded a change in fair value of the Prior Sponsor Working Capital Loan in the condensed statement of operations as previously reported for the period ended September 30, 2023. Additionally, management of the Company re-evaluated certain assumptions related to the fair value of the Prior Sponsor Working Capital Loan, at the date of forgiveness, Sept 6, 2023. The assumptions that changed were related to the probability of a successful Business Combination and the timing of when a successful Business Combination would be complete. The assumption that was changed related to the probability of a successful Business Combination at Sept 6, 2023 was because management of the Company was only in preliminary discussions with potential target companies to consummate a Business Combination, therefore the probability of the consummation of a Business Combination was less than probable and the probability was lowered from the initial assumption.

ITA is therefore requesting to extend the Contract with Skyvera by two years through May 16, 2025 to provide time to complete the migration of circuits to other vendors. The services provided by this Contract are vital to City operations and public safety, as over 40 police and fire stations are included in the City sites serviced by this Contract. Due to claimed increased operating costs brought on by their purchase of the bankrupt AVCT, Skyvera has drastically increased pricing for Volp services and licenses. For example, the previous cost of $8 per license has been increased to $21 per license.

$AVCTQ for those who cant read until the very end city LA are now looking for cheaper alternative contractors meaning - neither sky nor att are who they want - it does not say - they will use voip via - ATT- in 2025 “ In anticipation of the Contract's expiration in May 2023, ITA prepared to move the VolP services from Contract C-131282 to Contract C-139887 with AT&T Corp, as AT&T stated it would be able to support and effect the migration of the more than 7,000 VolP circuits prior to the expiration of Contract C-131282. Meanwhile, in February 2023, AVCT filed for Chapter 11 bankruptcy, and in March 2023 Skyvera acquired a portion of AVCT's assets including the City's Contract. Subsequently, AT&T was unable to complete the migration of the VolP lines prior to the May 16, 2023 expiration of the Contract, and there were still thousands of circuits to migrate after the expiration of C-131282.
