$LGMK I received my information to vote before the annual meeting and immediately voted against all current board members. I would encourage all shareholders to do the same, even though it probably isn’t enough to tip the scales from insiders votes.

$LGMK Volume under 5000 today. I hope they found some interested investors at the emerging growth conference today. Not sure what they would say about a company with declining revenue for the past several years and hemorrhaging money, but maybe they came up with a good story.

$LGMK Even though they just released Q4 and 2023 results recently, they should release Q1 results soon. They highlighted Q4 momentum and new products, so we should expect to see strong results for Q1?

$LGMK @boredwatcher @dale99 Meh call (again) -just a reading of the financials and 3 questions from one caller which led to-a new product pitch and statement about the inflated goodwill, that was adjusted. No sign of sales jump or when they”ll make a profit IMHO. Just a question when capital runs out and the well runs dry.

$LGMK Executive compensation (ceo/cfo) accounted for over 17% of total revenue in 2023 including a 375K bonus for the ceo. The company lost about $15M on revenue of $10M. I could understand a severance package, but a bonus?

$LGMK Goodwill impairment is an accounting charge that is incurred when the fair value of goodwill drops below the previously recorded value from the time of an acquisition. Goodwill is an intangible asset that accounts for the excess purchase price of another company based on its proprietary or intellectual property, brand recognition, patents, etc., which is not easily quantifiable. Impairment may occur if the assets acquired no longer generate the financial results that were previously expected of them at the time of purchase. A test for goodwill impairment aligned with generally accepted accounting principles (GAAP) must be undertaken, at a minimum, on an annual basis.

$LGMK After yesterday’s filing I did some digging to see why a company this size can’t complete the goodwill impairment analysis by April 1st. I looked into the new accounting/audit firm and also the ceo & cfo. Maybe what I found is common knowledge, but when the cfo of a company as small as LGMK is making over $500K/year I think they should be expected to be a full time dedicated employee/officer of that company. Turns out that mark archer is also a partner at FLG and has been the interim cfo of wine.com since 2022, which is probably a bigger company than Logicmark. Shareholders (especially large ones) should demand that the board engage with this train wreck. This cfo & ceo have to be held accountable for their performance and apparent lack of commitment!! Maybe the SEC should do some digging too?

$LGMK I am not a big shareholder and sold most of my shares here long ago. I invested when they (NXT) acquired FitPay and made some money after the price spiked with the press release about the “flip” and anything tied to crypto was hot. I kept a small position and thought that they might be able to do something in healthcare. I have to admit that I got stuck following it and now it’s like a train wreck and I haven’t been able to look away.
