They already signed the definitely merger deal with $CCTS LONDON, Aug. 29, 2024 (GLOBE NEWSWIRE) -- Tembo E-LV B.V. (“Tembo”), a subsidiary of Nasdaq-listed B Corporation, VivoPower International PLC (Nasdaq: VVPR) (“VivoPower”), today announced that it has executed a definitive Business Combination Agreement (“BCA”) with Cactus Acquisition Corp. 1 Limited, a Cayman Islands exempted special purpose acquisition company (Nasdaq: CCTS, CCTS The BCA assigns a pro forma enterprise value to the combination of Tembo and CCTS, assuming no redemptions by CCTS public shareholders at or before closing of US$904 million and precludes any further direct investment into Tembo. This new merger is just icing on the cake IMO.

$VVPR am I taking crazy pills or is everyone else reading the news wrong? I just read the “initial registration of news” just put out by $VVPR. It says Tembo is a subsidiary or $VVPR. In April Tembo hit a financial milestone and so they are combining with $CCTS so Tembo will be a separate entity and $VVPR will be the majority share holder. The merger will be finalized November 2024, and the docs will be completed before July 2024. It said nothing about a delay.

$CCTS I noticed in their CCTS's 8K filings that Gary Chancillor, COO of VVPR was appointed CEO of CCTS (April 12). That has to bullish signal that they intend on seeing this deal through. He'd likely lead the new Tembo. Any other way of interpreting that?

@svenqqq care to explain? I am new to this, i saw someone else posting that the merger will give 5 shares of $ccts (currently 11ish per share)for each share of $vvpr on record april 30. That didn't make sense to me, so trying to find out who is right.
