$BNRG Remember last time the company did a R/S end of last year, they gave no warning to investors, had the vote and didnt try for an extension, just did the R/S and executed the next day, news afterhours on a friday, and R/S in effect on the open of monday. BE AWARE of that.

$BNRG So if ive read properly the company has to keep the share count low to satisfy the EIB obligations of AVI's ownership of the company for the loan tranches to remain active, that they should be taking the last one in march of 2025, and need to be paid off by 2028, so the company has to r/s to keep the structure intact and cant just dilute for capital on a going basis. that is a worst case scenario as of now, with no revenues and only being able to have say 15mil shares max authorized by his 10% ownership clause for the funding (currently holds 800k). Let me know if you see something different then this. right now its a hold off for more contracts to be signed, and have a actual number for revenue besides "NIL" before jumping in IMO. and maybe even a buyout "payoff" of the EIB loan, that would be huge for this going forward.

$BNRG The ESCO model is more suitable to industrial customers who are not energy experts and wish to outsource their energy services. In 2023, for the Tempo project and the Wolfson Medical Center project, we initiated our first EaaS or ESCO contracts where we plan to own, finance, build and operate our TES systems at our customers’ sites and either sell the energy to the customer at a fixed energy price or receive a fixed revenue stream in connection with the energy service provided to the customer. In both cases, we have granted the customer a right to acquire the TES system after fixed period. So the pilots are all funded by government grants only, no sales as of record yet.
