$PARA I don't have much faith in the current management team at Paramount Global. It looks like they have all been getting fat while riding on the shoulders of a giant and now the giant is worn out and can't carry them anymore. A sale to get these no loads off it's shoulders is what needs to be done before the giant collapses under their weight.

$SONY $APO $PARA Sony, Apollo take key step in bid for Paramount's assets, NY Times reports Sony Pictures (SONY) and Apollo Global Management (APO) have taken a significant step forward in their effort to court Paramount (PARA), The New York Time's Benjamin Mullin and Lauren Hirsch report, citing three people familiar with the matter. The two companies have signed nondisclosure agreements with Paramount, allowing them to look at Paramount's nonpublic financial information, said the people. Paramount previously shared materials with another suitor, the Hollywood studio Skydance.

$PARA Look at the balance sheets of both KKR and Apollo (cash, current assets, equity). Neither is very leveraged; both have had strong stock price performance.
If KKR is still lingering in the shadows while Sony and Apollo looking at the books (which KKR has already seen), this could get interesting.
$40-$50B of PARA assets up for grabs. Assets that don’t come up for sale very often. Disney got Fox for $71B. Great content and franchises, but we’ve got some too; in addition to a growing streaming service with easily 1-2 price hikes possible; another free streaming service that’s #1.

$PARA As the speculation goes, one day suddenly all PARA shareholders, instead of owning a mainstream US media company, own the shares of a Japanese conglomerate whose business they barely know. It’s such a bizarre idea that I can’t wrap my head around it. It probably would not happen. I still believe that it is just A/S’s negotiation tactic. Simply put, as a buyer, S/A both know that they can’t appear to be over-zealous; they must appear to have doubts and hesitation about the worthiness of the transaction, or else the seller will ask for more. IMHO, the cash offer is still on the table.

$PARA whelp clock is ticking by this time next year NAI will be deeper sunk to repay debt or have given up in Paramount Global.
Worse case they will have to pretty much sell all B shares to repay reported debts to keep the voting shares.
Box office and 5 cent dividend will sink NAI into the part of the total 5k to 10k reduction on movie screens across the United States.

$PARA Isn't it that PARA A trades differently that your example of Underarmour and Google because 1 person holds enough shares to be a voting majority......and if you get those, you will then have a voting majority.....which is not possible in the other 2 cases, because the voting shares are spread out among many owners ? ..

$PARA Paramount Global would never issue a Press Release on a private sale matter. The SEC would be calling and knocking on the door immediately. The purpose on an NDA is so Sony+APOLLO agree not to share any of the following information with anybody. After Sony+Apollo are granted due diligence on PARA's financial books, they will learn the following: 1) The internal book values assigned to each business segment, movie studio operations, real estate values, CBS TV stations / network, FCC Licenses, BET, MTV, Nickelodeon, Paramount+, Pluto, etc. 2) Information on all long debt instruments, loan terms, maturity dates, convenents, etc. 3) All contracts, licensing agreements with other companies / government regulatory agencies that impact business operations for NFL, advertising, cash flows, Personnel, etc. 4) The depreciation schedules for all IP and content libraries. 5) The operational costs and diminishing loses behind the DTC / streaming platform. 6) Other things I am not privy to.
